Marcolin USA, Inc. "Frame Your Game" Official Contest Rules

Eligibility

NO PURCHASE NECESSARY TO PARTICIPATE IN THE CONTEST. The Marcolin USA, Inc. "Frame Your Game" Contest ("Contest"), as described in these official rules ("Official Rules"), is open only to Marcolin USA, Inc., authorized optical channel customers, typically an Optician, Optometrist, or Ophthalmologist, ("Accounts") and Account employees ("Employees", "You" or "Participant"). Employees are not obligated to participate. Marcolin Brands include: Marcolin, Marcolin Kids, National, CoverGirl, Kenneth Cole Reaction, Kenneth Cole New York, Timberland, Tom Ford, DSquared2, Roberto Cavalli, Just Cavalli, Mont Blanc, Swarovski, Tod's, or John Galliano ("Marcolin Brands"). By entering the Contest, you are bound by and agree to these Official Rules. Void where prohibited by law.

Contest Period

The Contest begins 12:01 A.M. (EST) on November 1, 2011, and ends at 11:59 PM (EST) on December 31, 2011 (the "Contest Period"). Entries received outside of the Contest Period are not eligible. Frames submitted must have been sold during the promotion period (November 1st through December 31st 2011). Frames sold outside that time period do not qualify for this promotion.

Registration

Participants must register to be eligible for a prize. Please complete and submit a registration form at www.MarcolinFrameYourGame.com. Prior to registration, each Employee must receive consent from the manager of the Account to participate in the Contest and to receive gifts from Marcolin USA, Inc.

By participating in the Contest, you are agreeing that you have read these Official Rules and agree to be bound by them.

How to Participate in the Contest

After registering for the Contest, you should return to www.MarcolinFrameYourGame.com to record any Marcolin Brand frame sales. The Employee must record the style, color and date of sale. All sales must be recorded prior to the expiration of the Contest Period. Based on the type of sale recorded on the entry page, the following points shall be awarded.

1. The sale of a Marcolin, National, CoverGirl or Timberland, earn 1 point per frame submitted.
2. The sale of a Kenneth Cole Reaction or Kenneth Cole New York earn 2 points per frame submitted.
3. The sale of a Mont Blanc, Just Cavalli, Tod's, John Galliano or DSquared2 earn 3 points per frame submitted.
4. The sale of Tom Ford, Swarovski, and Roberto Cavalli earn 4 points per frame submitted.
5. Reordering of any of the above brands at the time of the submission online will earn 1 point per frame submitted.

Marcolin USA, Inc. reserves the right to audit and confirm all sales information submitted prior to the awarding of any points or any prize as set forth below. All sales information must be solely that of the Participant. Participants may not submit information for sales completed by another, nor may Participants submit information on behalf of another. By submitting sales information the Participants represents that the sale was completed by that Employee. Frames that are reordered on the Frame Your Game website will be billed to the registered Marcolin account for that player. By reordering you are agreeing to purchase that frame.

Contest Rules

Prizes options are based on the number of points accumulated by each participant. Participants may redeem their points any time during the promotion. Free frames will be updated based on availability. All prizes will be delivered to the address on the registered Marcolin account for security reasons. No exceptions will be made.

Prize Notification and Claims

1. Participants may redeem their points at any time during the contest using the MY ACCOUNT function on the website. They may only request prizes equivalent or less than the total number of points they have available. Please allow 2 - 4 weeks for processing, shipping and delivery. All prizes will be delivered to the address on the registered Marcolin account for security reasons. No exceptions.
2. All prizes must be claimed within 15 days of the expiration of the Contest Period (January 15, 2012). Any prizes not claimed by January 15, 2012 shall be forfeited. Please allow 2-4 weeks for delivery of all prizes.

Returns

Free frames are not returnable, unless they are defective. All defective items should be sent to: Marcolin USA, 7543 East Tierra Buena Lane, Scottsdale, Arizona 85260, Attention: Frame Your Game Marketing. Please include your name, address, phone number, email address and the reason for returning with the frame as well as a copy of the prize redemption notice from Marcolin USA. If all items are not included we cannot guarantee a replacement frame will be sent and your prize will be forfeited. Returns will be processed within 15 days after receipt by Marcolin USA, Inc. If a replacement frame is not available, you will be contacted with the choice of an equivalent frame from the Select Frame list.

Disclaimer of Warranties

THE WEBSITE AND ALL SERVICES ON THE SITE ARE PROVIDED "AS IS," "WHERE IS" AND "WITH ALL FAULTS." YOU AGREE THAT YOUR USE OF THE WEBSITE AND PARTICIPATION IN THE PROMOTION SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, MARCOLIN USA, INC. AND ITS RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND WARRANTIES IMPLIED FROM A COURSE OF PERFORMANCE OR COURSE OF DEALING OR USAGE IN TRADE.

General Conditions

The Contest is void where prohibited or restricted by law. By entering this Contest, Accounts and Employees agree to be bound by these rules, conditions and limitations. Accounts and Employees hereby release Marcolin USA, Inc., its subsidiaries, its affiliates and its agents from any and all liability, for any loss, claims, damages or injuries arising out of their participation in this Contest or the awarding, receipt, possession, use and/or misuse of any prize. All taxes and all other expenses, costs or fees associated with the acceptance and/or use of any prize are the sole responsibility of the winners. No employment relationship is created between Marcolin USA, Inc. and any Employee by acceptance of these Official Rules, participation or registration in the Contest, or by receipt of any prize. All decisions made by Marcolin USA, Inc., on all matters relating to this Contest are final.

Participating in the Contest constitutes express permission for Marcolin USA, Inc., to use your name and/or likeness, if selected as the winner, for purposes of advertising and promotion (if any) without further compensation, except as prohibited by law. Contestant acknowledges and agrees that his/her name, home/business contact information, work title, location and position may be used and/or transmitted to locations outside the contestant's home state or country.

Neither Marcolin USA, Inc., nor its subsidiaries, affiliates, advertising, promotion and other agencies are responsible or liable for telecommunication, server, connector, electronic or computer malfunction or error, or for lost, late, illegible, damaged, misdirected, incomplete, or garbled information submitted to Marcolin USA. Marcolin USA, Inc., is not responsible for events beyond Marcolin USA, Inc.'s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of the Contest. Marcolin USA, Inc., reserves the right to disqualify any person who tampers with the Contest or its outcome, or who violates the Official Rules in participating in this Contest. Marcolin USA, Inc., reserves the right to change, suspend or terminate the Contest for any reason or in the event the administration, security, fairness, integrity, or proper conduct of the Contest is jeopardized.

Limitations of Actions

Marcolin USA shall have You acknowledge and agree that, regardless of any statute or law to the contrary, any claim or cause of action you may have arising out of, or relating to, your participation in the Contest or use of the Site or the Services must be filed within one (1) year after such claim or cause of action arises, or forever be barred.

BY PARTICIPATING IN THE CONTEST AND/OR ACCEPTING A PRIZE IN THE CONTEST, YOU AGREE THAT MARCOLIN USA, INC. SHALL NOT BE LIABLE FOR ANY LOSS OR INJURY RESULTING FROM PARTICIPATION IN THE CONTEST, ACCEPTANCE OR USE OF ANY PRIZE. YOU ALSO AGREE THAT ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, IF ANY, BUT IN NO EVENT ATTORNEYS' FEES. UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN ANY AWARD FOR, AND HEREBY WAIVE ALL RIGHTS TO CLAIM INDIRECT, PUNITIVE, INCIDENTAL, AND CONSEQUENTIAL DAMAGES, AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET COSTS INCURRED, AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED.

Governing Law

This Promotion is being conducted under, is subject to and shall be governed by the law and regulations of the State of Arizona. However, to the extent that Arizona's law does not apply, all applicable federal, state and local laws and regulations shall apply.
